1. Acceptance
By using the platform at cmltradinggroup.com (the "Platform"), operated by CML Trading Group ("we", "us"), you accept these Terms of Service. If you act on behalf of a company, you confirm you are authorised to bind that company.
2. Service description
The Platform connects business clients in Europe, Morocco and other markets with verified suppliers in China for the sourcing, quality control and shipping of industrial and commercial goods. We provide quotation management, order tracking, invoicing, payment-proof handling and account-manager support.
We act as an intermediary between buyers and approved suppliers. Final product specifications, lead times and prices are confirmed in the pro-forma invoice we issue once you accept a quotation.
3. Developer disclaimer
The Platform's technical software was developed by The Berkshire Company SARL AU as an independent contractor. The Berkshire Company SARL AU is not the operator of the Platform, is not a party to any contract between users and CML Trading Group, and bears no responsibility for the content, transactions, business decisions, products or services delivered through the Platform. All claims, complaints and legal notices must be directed to CML Trading Group at the contact below.
4. Accounts and roles
The Platform recognises four account roles: Admin, Account Manager, Client and Supplier. You may not share your credentials. You are responsible for all activity carried out under your account.
We reserve the right to suspend or close any account that breaches these Terms, fails identity verification, attempts fraud, violates sanctions law, or remains inactive for over 24 months.
5. Quotations, orders and payment
- Quotation requests do not create a contract. A contract is formed only when you accept the pro-forma invoice in writing.
- All prices are quoted in the currency stated in the quotation (default USD) and exclude VAT, customs duties, taxes and freight unless stated otherwise.
- Incoterms (FOB, CIF, DDP, EXW) follow Incoterms® 2020 and must be explicitly stated in the pro-forma invoice.
- Payment is due according to the terms in the pro-forma invoice — typically 30% deposit on order, 70% balance before shipment. Payment is by bank transfer to the account stated in the invoice; we do not store card data.
- Late payment may incur interest at the rate specified in the pro-forma invoice or, failing that, at the rate permitted by applicable law.
6. Cancellation, returns and quality
Because most goods are manufactured to order, cancellation after production has started is generally not possible. Specific cancellation, refund and warranty terms are stated in each pro-forma invoice and prevail over this section in case of conflict.
Defective goods must be reported within 14 days of delivery, supported by photographs and any quality-control reports. Replacement, repair or refund will be coordinated between the supplier and our quality team.
7. Intellectual property
The Platform — including its software, design, text, logos and trademarks — is the property of CML Trading Group or its licensors (including The Berkshire Company SARL AU in respect of the technical software) and is protected by applicable copyright and trade-mark law. You may not copy, redistribute or reverse-engineer it.
You retain ownership of any reference materials (drawings, photographs, brand assets) you upload, but you grant CML Trading Group a non-exclusive, royalty-free licence to use them solely for processing your quotation or order.
8. Acceptable use
You agree not to:
- Use the Platform for illegal goods, sanctioned countries or restricted dual-use items
- Upload malware, infringing content or false information
- Attempt to access other users' accounts or data
- Scrape, automate or overload the Platform
9. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of your use of the Platform is limited to the total fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential or punitive damages, lost profits, lost data or business interruption.
We do not guarantee the Platform will be uninterrupted, error-free or perfectly secure. The Platform is provided "as is" and "as available".
10. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control — natural disasters, pandemics, war, customs closures, port strikes, government action, or major internet outages.
11. Governing law and disputes
These Terms are governed by the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent People's Court of Yiwu City, Zhejiang Province, China, except where mandatory consumer-protection rules of your country of residence grant exclusive jurisdiction to another court.
12. Changes
We may update these Terms from time to time. We will notify registered users at least 30 days in advance of material changes. Continued use after the effective date constitutes acceptance.
